This Privacy Policy explains how Fibonara Labs (www.fibonaralabs.com), the developer of Fibonara Retail ("we," "our," or "us"), collects, uses, stores, and protects your personal information when you use the Fibonara Retail mobile application ("the App"). By downloading or using the App, you agree to the practices described in this Policy. If you do not agree, please do not use the App.

1. Who We Are

Fibonara Retail is a mobile point-of-sale and inventory management application developed and operated by Fibonara Labs, a software company based in Zimbabwe. You can learn more about us at www.fibonaralabs.com. For all privacy-related inquiries, you may contact us using the details provided at the end of this Policy.

2. Information We Collect

We collect information in the following categories:

2.1 Information You Provide Directly

  • Account information: Your name, phone number, and any business name you register with us.
  • Store information: Details about each store you create in the App, including store name and the names or contact details of store members you add.
  • Payment information: Your EcoCash transaction confirmation (screenshot or reference number) submitted to verify subscription payments. We do not collect or store your EcoCash PIN, card details, or banking credentials.
  • Business data: Product names, prices, stock quantities, cost prices, sales records, customer notes, cashier names, and any other information you enter into the App.
  • Adjustment and reconciliation records: Stock adjustment entries, reasons for adjustments, and sales reconciliation figures you record in the App.
  • Communications: Messages you send to us via WhatsApp or any other channel for support or payment verification purposes.

2.2 Information Collected Automatically

  • Device information: Device model, operating system version, and unique device identifiers, used to troubleshoot technical issues.
  • App usage data: Features accessed, frequency of use, and error logs, used to improve the App's performance and reliability.
  • Usage volume data: Aggregate transaction counts and data volumes per store, used to administer our Fair Usage Policy.
  • Crash reports: Diagnostic information generated when the App encounters an error.

2.3 Information We Do Not Collect

  • We do not collect your customers' personal information.
  • We do not access your device contacts, call logs, or SMS messages.
  • We do not track your location.
  • We do not collect biometric data.
  • We do not collect information from children under the age of 18.

3. How We Use Your Information

We use the information we collect for the following purposes:

  • To create and manage your account and store subscriptions.
  • To verify subscription payments made via EcoCash.
  • To provide, operate, and maintain the App and its features.
  • To synchronise your business data across devices where applicable.
  • To respond to your support requests and communications.
  • To monitor usage volumes and identify accounts that exceed normal usage thresholds under our Fair Usage Policy, and to contact those accounts to discuss appropriate arrangements.
  • To diagnose technical problems and improve App performance.
  • To notify you of important updates, changes to this Policy, or changes to the Terms of Use.
  • To detect and prevent fraudulent or unauthorised use of the App.
Important: We do not use your business data (including your sales records, inventory, or financial figures) for any commercial purpose, advertising, or analytics beyond what is necessary to operate the App for you.

4. Data Storage and Security

4.1 Local Storage

Core features of the App (including sales recording, inventory management, and reports) are designed to function without an internet connection. Data generated through these features is stored locally on your device and remains accessible offline. Features that require an active internet connection include account management, store management, and certain settings. The App will also require an internet connection at least once every 7 days to validate your account and synchronise data with our servers.

4.2 Cloud Storage and Synchronisation

Your data is periodically synchronised with our secured servers whenever an internet connection is available. We use industry-standard encryption (TLS/SSL) for all data transmitted between the App and our servers. If multiple users are operating within the same store, or if you are using the App across multiple devices on the same account, data from each device is merged during synchronisation. To minimise the risk of data conflicts or discrepancies in such scenarios, we strongly recommend syncing each device as frequently as possible.

4.3 Security Measures

We implement reasonable technical and organisational measures to protect your information against unauthorised access, alteration, disclosure, or destruction. These include encrypted data transmission, access controls, and secure storage practices.

4.4 Your Responsibility

You are responsible for maintaining the security of your device and any PIN or password you set within the App. We recommend enabling the App's PIN lock feature, particularly on devices shared with store members or employees. We cannot be held responsible for unauthorised access resulting from your failure to secure your device.

5. Data Sharing and Disclosure

We do not sell, rent, or trade your personal information to third parties. We may share your information only in the following limited circumstances:

  • Service providers: Third-party vendors who assist us in operating the App (such as cloud hosting providers), bound by confidentiality obligations and prohibited from using your data for their own purposes.
  • Legal requirements: Where we are required by law, court order, or lawful authority (including Zimbabwean regulatory authorities) to disclose information, we will comply with such requirements.
  • Protection of rights: Where disclosure is necessary to protect the rights, property, or safety of Fibonara Labs, our users, or the public.
  • Business transfer: In the event of a merger, acquisition, or sale of all or part of our business, your information may be transferred as part of that transaction. We will notify you of any such change.

6. Data Retention

We retain your account information and business data for as long as your account remains active and for a reasonable period thereafter in case you reactivate your subscription. If a store subscription lapses, the store will enter a 7-day grace period. After this period, the store's data will be placed in read-only mode until the subscription is renewed. If you request deletion of your account, we will delete or anonymise your personal data within 30 days, except where retention is required by law or for legitimate business purposes such as resolving disputes or preventing fraud.

Data stored locally on your device persists until you uninstall the App or manually clear the App's data through your device settings. We have no control over locally stored data after account deletion.

7. Your Rights

You have the following rights with respect to your personal information:

  • Access: You may request a copy of the personal information we hold about you.
  • Correction: You may request that we correct inaccurate or incomplete information.
  • Deletion: You may request deletion of your account and associated personal data, subject to any legal retention obligations.
  • Portability: You may export your business data (sales, inventory) in a standard format using the App's export feature.
  • Objection: You may object to the processing of your personal information in circumstances where we are not required by law to process it.

To exercise any of these rights, contact us using the details in Section 11. We will respond to all valid requests within 30 days.

8. Payments and Financial Data

Fibonara Retail uses a manual payment verification process. Subscription payments are made per store via EcoCash to a designated number, and you are required to provide proof of payment (a screenshot of your EcoCash confirmation) for your store to be activated. We store this confirmation record for our accounting and dispute resolution purposes.

We do not process card payments, integrate with banking systems, or access your EcoCash account in any way. All payment transactions occur directly between you and your EcoCash provider. We are not responsible for any EcoCash transaction failures, charges, or errors.

9. Third-Party Services

The App may include links to third-party services or may use third-party tools (such as crash reporting or analytics SDKs). These third parties have their own privacy policies and we encourage you to review them. We are not responsible for the privacy practices of any third-party services.

The App's Help and Support section may load content from external web pages. When accessing these pages, your device's internet connection is used directly, and those pages are governed by their respective privacy policies.

10. Children's Privacy

Fibonara Retail is intended for use by adults operating retail businesses. We do not knowingly collect personal information from individuals under the age of 18. If you believe that a minor has provided us with personal information, please contact us immediately and we will take steps to delete that information.

11. Changes to This Policy

We may update this Privacy Policy from time to time to reflect changes in our practices, the App's features, or applicable laws. When we make material changes, we will notify you through the App or via WhatsApp. The updated Policy will be effective from the date stated at the top of this document. Your continued use of the App after the effective date constitutes your acceptance of the updated Policy.

Terms of Use

Please read these Terms of Use ("Terms") carefully before using the Fibonara Retail mobile application ("the App"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Fibonara Labs ("we," "us," or "our"), the developer of Fibonara Retail. By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

By using the App, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • You are using the App for legitimate business purposes.
  • Your use of the App does not violate any applicable laws or regulations in Zimbabwe or any other jurisdiction applicable to you.

If you are using the App on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Description of the App

Fibonara Retail is a mobile point-of-sale and business management application developed by Fibonara Labs and designed for small retail businesses. Core features include inventory management, sales recording, sales reporting, stock adjustments, sales reconciliation, multi-store management, cashier tracking, and barcode scanning.

We reserve the right to modify, add, or remove features at any time. We will endeavour to notify users of significant changes through the App or via WhatsApp.

3. Account Registration and Security

To use the App, you must register an account by providing accurate and complete information. You are responsible for:

  • Maintaining the accuracy of your account information and updating it as necessary.
  • Keeping your account credentials, PIN, and device secure.
  • All activity that occurs under your account and any stores associated with it, whether or not authorised by you.
  • Notifying us immediately at the contact details below if you suspect unauthorised access to your account.

We are not liable for any loss or damage arising from your failure to maintain the security of your account or device.

4. Stores and Subscriptions

4.1 Store-Based Subscriptions

Subscriptions in Fibonara Retail are tied to individual stores, not to your account as a whole. Each store you create requires its own active subscription to access full functionality. You may create multiple stores under a single account, and each store will be subject to its own subscription and billing cycle.

4.2 Store Ownership and Members

The person who creates a store is the store owner and is responsible for that store's subscription payments. Store owners may add multiple store members (such as cashiers or managers) to a store at no additional charge per member. All store members operate under the store owner's subscription and are bound by these Terms. The store owner is responsible for ensuring that all store members comply with these Terms.

4.3 Free Trial

Each newly created store is entitled to one free trial period of 30 days, beginning on the date the store is created. During the free trial, all App features are available without requiring payment. The free trial applies once per store and cannot be transferred, extended, or applied to a store that has previously held an active subscription. At the end of the free trial period, a subscription payment is required to continue using the store's full functionality.

4.4 Subscription Fee

After the free trial period, continued access to a store's features requires a paid subscription. The current subscription fee is US$10.00 per store per month, or as otherwise stated in the App at the time of payment. We reserve the right to change subscription pricing with at least 14 days' prior notice to existing subscribers.

4.5 Payment Method

Payments are made via EcoCash to our designated number as displayed in the App. After completing your EcoCash transaction, you must submit your payment confirmation (screenshot) via WhatsApp or through the in-app upload feature. Your store's subscription will be activated within 24 hours of confirmation of your payment.

4.6 Subscription Activation

Your store's subscription begins on the date your payment is confirmed and verified by us. We reserve the right to withhold activation if a submitted payment confirmation cannot be verified or appears fraudulent.

4.7 Renewal

Subscriptions are not automatically renewed. It is your responsibility to make timely monthly payments to maintain uninterrupted access to each store. We may send reminders but are under no obligation to do so.

4.8 Lapsed Subscriptions and Grace Period

If a store's subscription lapses due to non-payment, a grace period of 7 days will apply from the date the subscription expires. During this grace period, the store remains fully functional. After the 7-day grace period, the store will be placed in read-only mode: you will be able to view existing data but will not be able to record new sales, make inventory changes, or perform any write operations until the subscription is renewed. Your data will not be deleted as a result of a lapsed subscription. To restore full functionality, renew your subscription at any time by submitting a payment as described in Section 4.5.

4.9 Fair Usage Policy

The standard monthly subscription is designed to accommodate the needs of typical small retail businesses. We do not impose rigid transaction limits; however, we reserve the right to identify accounts whose usage volume significantly exceeds what would ordinarily be expected under a standard subscription. In such cases, we will contact the store owner directly to discuss the situation and, where appropriate, agree on a special arrangement or custom pricing plan that reflects the actual level of usage. We will always initiate this conversation before taking any action on the account. No store will be suspended or penalised solely on the basis of high usage without prior discussion and reasonable notice.

4.10 Refunds

All subscription payments are non-refundable except in the following circumstances:

  • A duplicate payment was made in error and reported to us within 48 hours.
  • A store's subscription was not activated within 48 hours of a verified payment, with no explanation provided by us.
  • We are required to issue a refund by applicable law.

Refund requests must be submitted via WhatsApp with supporting evidence. Approved refunds will be processed via EcoCash within 7 business days.

4.11 Payment Disputes

If you believe a payment has not been credited to a store's account, contact us immediately with your EcoCash transaction reference number. We will investigate and respond within 3 business days.

5. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You must not:

  • Use the App to record, facilitate, or conceal any illegal transactions or activities.
  • Use the App to evade taxes, misrepresent financial records, or engage in fraud.
  • Attempt to gain unauthorised access to any part of the App, its servers, or any connected systems.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
  • Copy, modify, distribute, sell, or sublicense any part of the App or its content.
  • Use the App in any way that could disable, overburden, damage, or impair its functionality.
  • Introduce viruses, malware, or any other harmful code through the App.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Share your account credentials with individuals who have not agreed to these Terms.
  • Use the App for any purpose other than managing your own legitimate retail business.
Violation of acceptable use provisions may result in immediate suspension or termination of your account without refund.

6. Your Data and Content

6.1 Ownership

All business data you enter into the App (including product listings, sales records, inventory figures, and financial data) remains your property. We do not claim any ownership rights over your data.

6.2 Licence to Us

By using the App, you grant us a limited, non-exclusive licence to store, process, and transmit your data solely for the purpose of providing the App's services to you. This licence terminates when you delete your account and all associated data has been removed from our systems.

6.3 Accuracy of Data

You are solely responsible for the accuracy, completeness, and legality of all data you enter into the App. We do not verify, audit, or validate any business data you input. Any decisions made based on data recorded in the App are made at your own risk.

6.4 Data Export and Backup

We strongly recommend that you regularly export and back up your data using the App's built-in export features. While we take reasonable precautions to prevent data loss, we cannot guarantee against data loss caused by device failure, software errors, or circumstances beyond our control.

7. Intellectual Property

The App, including its design, code, features, trademarks, logos, and content (excluding your data), is the exclusive property of Fibonara Labs and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the App beyond the limited licence to use it as described herein.

You may not use the Fibonara Labs or Fibonara Retail name, logo, or branding in any way without our prior written consent.

8. Online and Offline Functionality

8.1 Offline Features

The following core features are available without an internet connection: sales recording, inventory management, stock adjustments, sales reconciliation, and reports. Data generated while offline is stored locally on your device and synchronised with our servers the next time the App connects to the internet.

8.2 Features Requiring Internet

The following features require an active internet connection to function: account management, store management, subscription and payment management, and certain App settings. Attempting to access these features while offline will result in an error until connectivity is restored.

8.3 Mandatory Online Check-In

The App requires an active internet connection at least once every 7 consecutive days. If the App has not been able to connect to our servers within any 7-day period, certain features may be restricted until connectivity is restored and the App successfully checks in. This requirement exists to validate your subscription status, apply any updates, and ensure data integrity. We recommend connecting regularly to avoid any interruption.

8.4 Multi-User and Multi-Device Synchronisation

Where multiple store members are operating within the same store simultaneously, or where you are using the App on more than one device under the same account, each device maintains its own local copy of the store's data and synchronises with our servers when connected. To minimise the risk of data conflicts, discrepancies, or overwritten records, we strongly recommend that all users and devices sync as frequently as possible. Fibonara Labs is not liable for data conflicts or losses arising from infrequent synchronisation in multi-user or multi-device scenarios.

8.5 Availability of Online Services

We do not guarantee uninterrupted availability of online services. Scheduled or emergency maintenance may temporarily interrupt features that require internet connectivity. We will endeavour to provide advance notice of scheduled maintenance where possible. We are not responsible for any losses arising from App unavailability, including during periods of internet outage, server maintenance, or circumstances beyond our reasonable control.

9. Multi-Store and Multi-Member Use

Where the App supports multiple stores, each store is subject to its own subscription and these Terms apply to all stores managed under a single account. Store owners are responsible for ensuring that all store members who access the App comply with these Terms. Any breach of these Terms by a person using a store is deemed a breach by the store owner.

10. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the App will be error-free, uninterrupted, secure, or free from harmful components.
  • Any warranty that results obtained from using the App will be accurate or reliable.
  • Any warranty regarding the suitability of the App for tax, accounting, or compliance purposes.
Fibonara Retail is a business management tool, not an accounting or tax compliance system. We make no representation that use of the App satisfies any ZIMRA reporting, tax filing, or regulatory obligation. You are solely responsible for your compliance with all applicable laws and regulations.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Fibonara Labs and its operators shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business, or goodwill.
  • Losses arising from your reliance on data recorded or generated by the App.
  • Losses arising from unauthorised access to your account or device.
  • Losses arising from third-party services, including EcoCash or internet service providers.
  • Losses arising from App unavailability or data loss.

In any event, our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total subscription fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Fibonara Labs and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the App in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any data you enter into the App that infringes the rights of a third party.
  • Any dispute between you and your employees, store members, or customers arising from your use of the App.

13. Termination

13.1 Termination by You

You may stop using the App at any time. You may request deletion of your account by contacting us via WhatsApp. Termination does not entitle you to a refund of any subscription fees already paid.

13.2 Termination by Us

We reserve the right to suspend or terminate your account or any individual store, with or without notice, if:

  • You breach any provision of these Terms.
  • You engage in fraudulent, abusive, or illegal conduct.
  • A store subscription has lapsed and remains unpaid for an extended period beyond the grace period.
  • We are required to do so by law or lawful authority.
  • We decide to discontinue the App, with reasonable notice provided to all active users.

13.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.

14. Modifications to the App and Terms

We reserve the right to modify the App's features or these Terms at any time. For material changes to these Terms, we will provide at least 14 days' notice through the App or via WhatsApp. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the App and request account deletion.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to the jurisdiction of the courts of Zimbabwe.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fibonara Labs with respect to your use of the App and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any breach shall not be deemed a waiver of any subsequent breach of the same or any other provision.
